Kathryn McBride, CPA

Ms. McBride holds a B.S. degree in Economics with Finance Applications from Southern Methodist University, Dallas, Texas. She is a Certified Public Accountant licensed by the State of Texas. She serves as Corporate Secretary of the company and is a member of the Executive Committee.
Ms. McBride joined the POER Company in 1992 after holding accounting positions in the retail and telecommunications industries. She was instrumental in the design and development of POER's financial reporting systems, which interface with POER's unique national property tax system. She also participated in the start-up
of POER's tax bill payment service offering.

| In addition to providing leadership and direction on all finance-related matters, she is responsible for positive banking relationships, execution of financing arrangements, acquisitions, spin-offs, management of the Finance and Human Resources departments as well as any matters of corporate administration. Ms. McBride is an
officer of the Dallas Chapter of Financial
Executives International. She is also a member of
the AICPA and the Texas Society of C.P.A.'s.
